These Terms of Service govern the use of services provided by eXDigital LLC (“eXDigital”, “we”, “us”, or “our”) to the customer, account holder, or business purchasing or using our services (“Customer”, “you”, or “your”).
By creating an account, placing an order, paying an invoice, accessing our client area, using our hosting services, or otherwise using any eXDigital service, you agree to these Terms of Service, our Privacy Policy, Anti-Spam Policy, and any additional terms shown during checkout or attached to your order.
If you do not agree to these terms, you must not use our services.
1. Services Covered
eXDigital may provide web hosting, reseller hosting, server hosting, domain-related services, email hosting, DNS services, SSL certificates, software licences, website support, technical support, migration support, security services, and other digital services listed on our website, invoices, service descriptions, or customer portal.
The exact services provided to you will depend on the package, order, quote, invoice, or agreement you accept.
We may update, modify, replace, suspend, or discontinue any service, feature, software, or third-party product where reasonably necessary for security, performance, legal compliance, supplier changes, platform changes, or business reasons.
2. Orders, Accounts, and Customer Information
You agree to provide accurate, complete, and up-to-date account, billing, and contact information.
You are responsible for keeping your login details secure. Any activity carried out through your account, hosting panel, billing portal, FTP account, email account, database, website, or server is your responsibility unless caused directly by eXDigital’s proven negligence.
You must notify us immediately if you believe your account, website, email, billing login, or server has been compromised.
We may refuse, cancel, or suspend any order where we reasonably believe that the order is fraudulent, abusive, unlawful, high-risk, or in breach of these terms.
3. Billing and Payment
All fees are payable according to the pricing, billing cycle, and payment terms shown at checkout, on your invoice, or in your service agreement.
Services may be billed monthly, annually, or on another agreed billing cycle. Unless stated otherwise, recurring services renew automatically until cancelled.
You are responsible for paying all invoices by the due date. Failure to pay may result in late fees, service suspension, data loss, account termination, or collection action.
We may charge late fees, reactivation fees, administrative fees, payment processing fees, or recovery costs where permitted by law and where reasonably necessary.
Prices may change from time to time. For recurring services, we will make reasonable efforts to give advance notice of material price changes before they apply to your next renewal.
4. Automatic Renewals
By purchasing a recurring service, you authorise eXDigital and/or our payment processor to charge your selected payment method automatically for renewal fees, unless you cancel before the renewal date.
You are responsible for keeping your payment method active and up to date.
Failure of an automatic payment does not cancel the service immediately and does not remove your responsibility to pay outstanding invoices.
5. Cancellations
You may request cancellation of a recurring service through the client area, support ticket, or another approved method.
Unless your order states otherwise, cancellation requests should be submitted before the next renewal date. If a cancellation is submitted after a renewal invoice has been generated or after a renewal payment has been taken, the renewal may remain payable and may not be refundable.
Cancellation of a hosting account may result in removal of websites, files, databases, email, backups, DNS records, and other data connected to the service.
You are responsible for downloading and preserving any data you wish to keep before cancellation.
6. Refunds
Setup fees, migration fees, domain registrations, domain renewals, SSL certificates, software licences, third-party products, custom work, support time, administrative fees, and completed services are non-refundable unless required by law or expressly stated otherwise.
Hosting refunds, if offered, will be handled according to the specific package, order, or money-back guarantee shown at the time of purchase.
No refund is due where a service is suspended or terminated because of abuse, spam, fraud, illegal activity, non-payment, chargeback, violation of these terms, or breach of our Acceptable Use rules.
7. Chargebacks and Payment Disputes
If you dispute a payment, reverse a payment, or initiate a chargeback without first contacting us to resolve the issue, we may suspend or terminate your services.
You remain responsible for any valid unpaid fees, chargeback fees, administrative costs, and recovery costs.
8. Taxes
You are responsible for any applicable taxes, duties, levies, or government charges connected with your purchase or use of our services, except taxes based on eXDigital’s own income.
Where required, taxes may be added to invoices.
9. Customer Responsibilities
You are responsible for:

The content, files, data, scripts, applications, emails, and websites hosted under your account.

Keeping your applications, plugins, themes, CMS installations, passwords, and scripts secure and up to date.

Maintaining your own independent backups.

Ensuring that your use of our services complies with all applicable laws.

Ensuring that your users, staff, contractors, and customers comply with these terms.

Responding promptly to abuse, security, copyright, spam, or legal complaints.

Ensuring that your website or server does not harm, overload, interfere with, or compromise our network or other customers.
10. Acceptable Use
You must not use our services for any unlawful, abusive, harmful, deceptive, or high-risk activity.
Prohibited activities include, but are not limited to:

Hosting, transmitting, or promoting illegal content.

Sending spam or unsolicited bulk email.

Phishing, spoofing, fraud, impersonation, credential theft, or misleading activity.

Malware, viruses, botnets, ransomware, spyware, exploit kits, or harmful code.

Attacks against networks, systems, users, websites, servers, or services.

Port scanning, vulnerability scanning, brute-force attacks, denial-of-service activity, or unauthorised access.

Copyright, trademark, or intellectual property infringement.

Hosting or linking to stolen data, leaked credentials, payment card dumps, or hacked material.

Running open proxies, open mail relays, TOR exit nodes, crypto-mining, or resource-intensive services without written permission.

Adult, gambling, controlled substance, weapons, or high-risk content where prohibited by law, payment processors, upstream providers, or our service rules.

Any use that damages our reputation, network, IP address reputation, deliverability, suppliers, infrastructure, or other customers.
We reserve the right to determine, in our reasonable judgment, whether activity violates this section.
11. Email and Anti-Spam Rules
You must comply with our Anti-Spam Policy and all applicable email marketing, privacy, and anti-spam laws.
You may not send unsolicited bulk email using our servers, IP addresses, domains, email accounts, SMTP services, or related infrastructure.
You are responsible for ensuring that any mailing list used with our services is permission-based, properly maintained, and includes a working unsubscribe method.
We may suspend or terminate any service involved in spam, poor sender reputation, blacklisting, abuse complaints, or email activity that creates risk for our infrastructure or customers.
12. Resource Usage
Hosting services are shared or allocated according to the package purchased.
You must not use excessive CPU, RAM, disk I/O, bandwidth, inode count, database resources, email resources, or network capacity in a way that harms performance, stability, security, or other customers.
Where usage becomes excessive, we may contact you to reduce usage, require an upgrade, throttle or limit the service, suspend the service, or terminate the service.
“Unlimited” or “unmetered” services, where offered, are subject to fair use, technical limits, anti-abuse limits, and normal website hosting usage. They do not allow unlimited storage, backup storage, file sharing, video archives, mass mailing, scraping, mirroring, or other abnormal usage.
13. Backups and Data Loss
You are responsible for maintaining your own independent backups of all websites, files, databases, emails, settings, and other data.
eXDigital may provide backups as a courtesy or as part of a paid backup service, but we do not guarantee that any backup will be available, complete, current, restorable, or free from corruption unless expressly agreed in writing.
We are not liable for data loss, corruption, deletion, failed backups, failed restores, compromised websites, customer error, third-party software failure, malware, server failure, or suspension/termination of services.
14. Security
We take reasonable measures to operate and protect our systems, but no hosting service can be guaranteed to be completely secure or uninterrupted.
You are responsible for securing your own website, scripts, passwords, admin accounts, email accounts, software, plugins, themes, databases, API keys, and third-party integrations.
You must notify us immediately if you discover a vulnerability, compromise, data breach, malware infection, unauthorised access, or suspicious activity involving our services.
We may take emergency action to protect our network, including suspending accounts, disabling scripts, blocking traffic, changing passwords, removing malware, isolating services, or taking websites offline.
15. Support
Support is provided according to the service package purchased.
Support may be provided by ticket, email, live chat, phone, or other methods at our discretion.
Unless expressly included in your package, support does not include custom development, website design, coding, SEO, content updates, third-party app troubleshooting, plugin conflicts, malware cleanup, email client configuration, DNS changes, migration work, or repair of customer-caused issues.
We may charge for support outside the scope of your package.
16. Third-Party Products and Services
Some services may depend on third-party providers, including data centres, control panels, domain registrars, SSL providers, software vendors, payment processors, spam filtering providers, DNS providers, content delivery networks, email platforms, or other suppliers.
We are not responsible for outages, errors, price increases, licensing changes, policy changes, suspension, termination, or failures caused by third-party providers.
Third-party products may be subject to their own terms, licences, restrictions, and refund policies.
17. Domains
If we register, renew, transfer, or manage a domain name for you, you agree to comply with the rules of the relevant registry, registrar, and ICANN where applicable.
Domain registrations and renewals are usually non-refundable once processed.
You are responsible for ensuring that domain contact details are accurate and that domains are renewed before expiry.
We are not responsible for domain loss, expiry, redemption fees, DNS issues, transfer delays, registry actions, registrar actions, or inaccurate customer information.
18. IP Addresses
Any IP addresses assigned to you remain the property of eXDigital or its upstream providers.
You do not own IP addresses assigned to your services. We may change, remove, or reassign IP addresses where reasonably necessary.
You must not use IP addresses in a way that causes blacklisting, poor reputation, abuse complaints, or network harm.
19. Content and Intellectual Property
You retain ownership of content and data you upload to our services.
You grant eXDigital a limited licence to host, transmit, store, back up, copy, display, and process your content only as necessary to provide the services, protect the services, comply with law, or enforce these terms.
You must not upload, host, or distribute content that infringes another person’s copyright, trademark, privacy, publicity, or other rights.
We may remove or disable access to content where we reasonably believe it is unlawful, infringing, abusive, harmful, or in breach of these terms.
20. Privacy and Customer Data
Our handling of personal information is explained in our Privacy Policy.
Where we process personal information on your behalf as part of hosting services, you remain responsible for determining whether your use of the services complies with applicable privacy, data protection, consumer protection, and security laws.
If you require a data processing agreement, business associate agreement, PCI responsibilities matrix, or other compliance document, you must request and complete it before using our services for regulated data.
You must not use our services to store or process sensitive regulated data, including protected health information, payment card data, government identification data, or highly sensitive personal data, unless we have expressly agreed in writing that the service is suitable for that use.
21. PCI, Payment Data, and Regulated Data
You are responsible for your own compliance with PCI DSS and any payment processor rules that apply to your website or business.
Unless expressly agreed in writing, our hosting services are not designed to store raw payment card data, full card numbers, CVV codes, or magnetic stripe data.
You should use reputable third-party payment processors and avoid storing payment card details on your hosting account.
22. Suspension
We may suspend all or part of your services immediately, with or without notice, if:

You fail to pay an invoice by the due date.

Your service is involved in spam, abuse, malware, phishing, fraud, attacks, or illegal activity.

Your website, account, or server creates a security risk.

Your use harms our network, IP reputation, systems, suppliers, or other customers.

You fail to cooperate with an abuse, billing, legal, or security investigation.
-
We are required to do so by law, court order, payment processor, data centre, registrar, supplier, or government authority.
-
We reasonably believe suspension is necessary to protect eXDigital, our customers, or the public.
Suspension does not cancel your obligation to pay fees.
We are not liable for loss of revenue, loss of data, loss of access, business interruption, reputational damage, or other loss caused by a suspension made under these terms.
23. Termination
We may terminate your services or account if:

You breach these terms and fail to cure the breach within the time we specify.

You fail to pay amounts owed.

You engage in serious abuse, spam, fraud, illegal activity, or security violations.

You repeatedly breach these terms.

A third-party provider, registrar, payment processor, or upstream supplier requires termination.

We discontinue the relevant service.
After termination, we may delete all data connected with the terminated service. You are responsible for keeping your own backups.
24. Service Availability
We aim to provide reliable services, but we do not guarantee uninterrupted, error-free, or perfectly secure service.
Services may be unavailable due to maintenance, updates, hardware failure, software failure, network issues, cyberattacks, third-party provider outages, DNS issues, customer error, emergency security action, or events beyond our control.
Any service credits, if offered, will be stated in a separate service level agreement or package description. Service credits are your sole remedy for covered downtime.
25. Disclaimer of Warranties
To the maximum extent permitted by law, all services are provided “as is” and “as available”.
We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, security, deliverability, search engine ranking, revenue performance, or error-free operation.
26. Limitation of Liability
To the maximum extent permitted by law, eXDigital will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of business, loss of data, loss of goodwill, loss of rankings, email deliverability issues, business interruption, or reputational harm.
Our total liability for any claim relating to the services will not exceed the amount you paid to eXDigital for the affected service during the three months immediately before the event giving rise to the claim.
This limitation applies regardless of the legal theory, including contract, tort, negligence, strict liability, or otherwise.
27. Indemnification
You agree to defend, indemnify, and hold harmless eXDigital, its owners, employees, contractors, suppliers, and affiliates from any claim, loss, liability, damage, penalty, cost, or expense, including reasonable legal fees, arising from:

Your use or misuse of the services.

Your content, websites, applications, emails, or data.

Your breach of these terms.

Your violation of law.
-
Your infringement of third-party rights.
-
Spam, abuse, fraud, malware, phishing, attacks, or security incidents connected with your account.

Claims brought by your customers, users, employees, contractors, or third parties.
28. Confidentiality
Each party may receive confidential information from the other.
Confidential information must be used only for the purpose of providing or receiving services and must not be disclosed except to employees, contractors, advisers, suppliers, or authorities who reasonably need access and are subject to appropriate confidentiality obligations.
This section does not apply to information that is public, already known, independently developed, lawfully received from another source, or required to be disclosed by law.
29. Legal Requests and Abuse Reports
We may respond to subpoenas, court orders, warrants, law enforcement requests, regulatory requests, abuse complaints, copyright notices, network complaints, registrar notices, or supplier complaints where we believe disclosure or action is required or appropriate.
We may provide customer information, logs, account data, IP information, hosted content, billing details, or other relevant information where permitted or required by law.
30. Changes to These Terms
We may update these Terms of Service from time to time.
The updated version will be posted on our website with a revised “Last updated” date. Your continued use of the services after changes are posted means you accept the updated terms.
For material changes, we may provide additional notice where reasonably practical.
31. Force Majeure
We are not responsible for failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, government action, power failure, supplier failure, data centre failure, network failure, cyberattacks, internet routing issues, pandemics, or other events outside our control.
32. Assignment
You may not assign or transfer your rights or obligations under these terms without our written consent.
We may assign or transfer our rights and obligations to an affiliate, successor, purchaser, or business acquiring all or part of eXDigital.
33. Governing Law and Disputes
These terms are governed by the laws of the State of Michigan, unless another jurisdiction is required by applicable law.
Before bringing a claim, both parties agree to try to resolve disputes informally by contacting each other in writing.
Any dispute that cannot be resolved informally shall be handled in the state or federal courts located in Michigan, unless arbitration, small claims court, or another dispute process is required by a separate written agreement or applicable law.
34. Entire Agreement
These Terms of Service, together with your order, invoice, service description, Privacy Policy, Anti-Spam Policy, and any additional written agreement, form the entire agreement between you and eXDigital regarding the services.
If any part of these terms is found unenforceable, the remaining parts will remain in effect.
